Article I: Name of Organization
The Name of this organization shall be called Keweenaw ATV Club, Inc., a non-profit organization.
Article II: Object & Purpose of Organization
- To encourage, develop and enhance safe ATV riding, and outdoor recreation throughout Keweenaw County, and the surrounding areas, in the State of Michigan.
- To pursue those activities necessary to the good housekeeping of the natural wilderness of Keweenaw county.
- To encourage and assist the youth with safe and responsible riding of ATV’s.
- To assist local authorities and law enforcement agencies, as needed, in times of emergency and crisis situations.
- To assist with search and rescue operations as directed by said authorities.
- In general, to have all powers granted to corporations and not prohibited by law, for the accomplishment of the stated purpose.
Article III: Membership
Section 1: Admission to Membership
Individuals interested in furthering the sport of ATV riding may become members upon application and payment of annual dues as established by the Club.
Section 2: Certificates of Membership
The Club shall issue membership cards evidencing membership in the Club.
Section 3: Classes of Membership
The Club shall have three (2) classes of membership. The designation of classes and qualifications and rights of the member shall be as follows:
a. Individual-Family (Regular Member)
Applicant shall be a minimum of 18 years of age, and must have pay annual dues to be entitled to membership.
b. Corporate Member
Corporate members do not have to own an ATV. Businesses that wish to assist and promote safe ATV Riding may become members upon payment of annual dues.
Article IV: Meetings
Section 1: Monthly Meetings
Meetings are held the first Monday of each month at 7:00 P.M. at the Club hall or other designated location. Or alternate date, if we are not able to hold it on the First Monday. Meetings shall consist of at least the following:
- Call to order
- Reading of minutes of last meeting
- Report of Treasurer
- Report of Committees
- Welcome of new member(s)
- Old Business
- Schedule and place of next meeting
- Adjournment
Section 2: Committee Meetings
Committee meetings may be scheduled at interval times to promote ongoing club projects.
Section 3: Fiscal Year and Annual Meeting
The fiscal year shall be from October 1st until September30th. The Annual Meeting shall be held in October of each year. (amended 1-16-2010)
Section 4: Order of Business
The order of business may include the following:
- Officer elections
- Recognition of individual or corporate members
- Recognition of Club efforts
Section 5: Rules of Order to Govern Meetings
Roberts Rules of Order (as revised) shall govern the meeting of membership where they are not consistent with Club by-laws.
Article V: Officers
Section 1: Officers
The officers of the Club shall be a President, Vice-President and Secretary Treasurer and Trails Maintenance Supervisor and Trustees.
Section 2: Election and Tenure
The officers of the Club shall be elected at the Annual Meeting in each odd year upon nomination and selection by ballot or voice vote by membership. Each officer shall hold office for two consecutive years. (amended 1-16-2010)
Section 3: Removal
Any officer elected or appointed by the membership may be removed for any reason deemed sufficient by the membership by a three-quarter vote of members. Officers subject to removal shall be served written notice of at least fifteen (15) days prior to the next scheduled meeting, at which time he/she may present a case against removal.
Section 4: Vacancies
A vacancy in any office because of death, resignation, removal, or otherwise, may be filled by vote of Club membership for the expired portion of the term at the meeting following the occurrence of the vacancy.
Section 5: President
The President shall be the principal executive officer of the Club and shall, in general, supervise and control all of the business and affairs of the Club. The President shall preside at all meetings. The President shall be an ex-officio member of all regular and special committees and, in general, perform all duties incident to the office of the President.
Section 6: Vice President
In the absence of the President, or in the event of inability or refusal to act, the Vice President shall perform the duties of the President and when so acting, shall have all powers of, and be subject to all the restrictions upon, the President.
Section 7: Secretary
The Secretary shall attend all meetings of the membership, and shall preserve, in books of the Club, true minutes of the proceedings of all such meetings. The Secretary shall also perform the following:
- Give all notices required by statute, by-laws or resolution
- Keep a correct roll of all members and affiliated organizations with their addresses
- Attend to the proper publication of all reports
- Conduct official correspondence
- Attest documents
- Perform all duties incident to the office of the Secretary
- Perform all duties assigned by the President.
Section 8: Treasurer
The Treasurer shall have custody of all Club (Corporation) funds and securities and shall keep, in books belonging to the Club, full and accurate accounts of all receipts and disbursements. The Treasurer shall also perform the following:
Deposit all money, securities and other valuable effects in the name of the Club in such depositories as may be designated, by the Membership, for that purpose.
Disburse the funds of the Club ONLY by checks signed by him/her and one (1) other Club Officer (President or Vice President).
Render to the President and membership, at the Annual Meeting, and whenever requested, an account of all transactions as Treasurer and of the financial condition of the Club.
Section 9: Trails Maintenance Supervisor
The Trails Maintenance Supervisor shall assist the Club Officers and members to resolve issues and/or problems that arise due to increased use of the trail system. A detailed explanation and description of duties associated with this position shall be kept with the Club Secretary/Treasurer and shall be reviewed and revised and voted on by the membership as necessary. Section 10: Bond
All officers handling money, specifically the President, Vice-President and Treasurer, shall be required to be bonded for the faithful discharge of their duties in such sum andwith such surety as the membership may determine. The Club shall pay for the expense of such bonds.
Article VI: Club Income and Subsequent Expenditures
Section 1: Trail Development and Maintenance
Funds shall be expended for all trail development and maintenance, i.e., trail brushing, culvert installation, bridge installation and maintenance, equipment purchase and maintenance, and sign installation and maintenance upon approval by membership of the Club.
Section 2: Incidental Expenditures
The Club officers shall have the authority to expend no more than $500 for incidental and routine expenditures, i.e., stamps, office supplies, etc. without approval of the membership of the Club. (amended 3-2-2009)
Article VII: Dissolution of Club Assets
Section 1: Dissolution of the Club
If, at any time, the Keweenaw ATV Club, Inc. no longer exists for the purpose and objectives set forth its constitution, the Club will hereby be dissolved.
Section 2: Disposition of Club Assets
At the time of dissolution of the Club, any and all assets shall immediately revert to an entity named at the discretion of the Club at the last meeting.
Article VIII: Amendments
These by-laws may be amended at any annual or special meeting of the members by a vote of a majority of the members present, providing a quorum of club officers are present. (amended 1-16-10)
Amendment to the by-laws regarding trustees 6/02/08
Three trustees shall be elected by the membership for the purpose of assisting club officers in the event of an emergency, in making decisions in the best interest of the club. The trustees shall be required to attend club meetings and be up to date on club business. In the event of a resignation or physical or mental incapacitation of a club officer, the remaining club officer or officers and trustees shall have the authority to appoint a person to temporarily fill the vacant position, until an election for a permanent replacement can be held. Such election shall be held in accordance with existing club bylaws.
